These terms govern your use of Editorial Toolkit, a product of BizziGroup ("we", "us"). By using the app you agree to them. If you don't agree, please don't use it.
1. Acceptance
By accessing or using Editorial Toolkit you confirm you can form a binding contract and agree to these terms and our Privacy Policy.
2. The Service
Editorial Toolkit is a free, browser-based tool for editors and post teams to convert editorial cuts between CMX3600 EDL, OpenTimelineIO (.otio) and FCPXML (Final Cut Pro / DaVinci Resolve), perform timecode calculations including drop-frame arithmetic, and inspect the events in a cut. All parsing, conversion and calculation run entirely in your browser and are not uploaded to us. The service is provided on an ongoing, evolving basis - features may be added, changed or removed.
3. Free - No Account
The whole tool is free. There is no account, no login, no trial and no subscription or payment of any kind. Every feature is available to everyone.
4. No Warranty on Conversions
Editorial interchange formats are complex and vary between applications and versions. Editorial Toolkit aims for faithful conversions, but you are responsible for verifying any converted file before relying on it in a conform, delivery or archive. Always confirm frame rates, timecode and event counts in your NLE. Editorial Toolkit is a utility, not a guarantee of interchange correctness.
5. Acceptable Use
Don't misuse the service: no unlawful, infringing or harmful use; and no attempts to break, overload, reverse-engineer or gain unauthorised access to the service or the wider site.
6. Your Content & Intellectual Property
You own the cuts, timecodes and exports you create. We claim no ownership of them. Because your work is processed locally in your browser, you are responsible for keeping your own copies of anything you download. Editorial Toolkit, its software, branding and design remain our intellectual property.
7. Trademarks & Independence
Editorial Toolkit is independent and is not affiliated with, endorsed by or sponsored by any NLE vendor. FCPXML and Final Cut Pro are trademarks of Apple Inc.; DaVinci Resolve is a trademark of Blackmagic Design; OpenTimelineIO is a project of the Academy Software Foundation. These names are used for identification only.
8. Availability
We aim for reliable access but don't guarantee it. The service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. Some rights under the Australian Consumer Law cannot be excluded - nothing here limits those.
9. Limitation of Liability
To the extent permitted by law, we are not liable for indirect or consequential loss, or for loss of data or work that you did not download and back up. As the service is provided free of charge, our aggregate liability is limited to the maximum extent permitted by law.
10. Changes to the Service or Terms
We may update these terms or the service. Material changes will be reflected by the "Last updated" date; continued use after a change means you accept the updated terms.
11. Governing Law
These terms are governed by the laws of New South Wales, Australia, and you agree to the non-exclusive jurisdiction of its courts.
